Smallbiz America Terms of Service for PodSuite™

Smallbiz America [Howl Media, LLC] will provide the following services, features and functions under this Agreement.

• Provide telephone production system for all podcast content generation.
• Record or accept recordings up to 30 minutes each to be finished as podcast episodes.
• Produce (1) lead-in and lead-out with professional voice talent and music underscore for use at the beginning and end of each podcast episode [the series].
• Create a customized, branded show “graphic panel” for the podcast series.
• Publish episodes to facilitate the release of 1 episode per week.
• Publish all podcast episodes on http://www.smallbizamerica.com, iTunes, and within the SHOW microsite area with searchable archives.
• Create an exclusive RSS feed for each podcast series.
• Provide support for the PodSuite™ Host as needed via email or via our toll-free helpline: 888-415-5990.

Additional Considerations:

• While we aim for only the highest standards of content, Smallbiz America [Howl Media, LLC] is not directly responsible for the content of its PodSuite Hosts podcast, or any legal matters or otherwise that might arise as a result of the content created by its PodSuite Hosts.
• As a PodSuite host, you agree to deliver your episodes ontime and to post the necessary page content to allow regular posting of your content.
• You further agree that your content is original, is not defamatory or obscene, and is suitable to a business audience.

Payment:

• Initial Setup Fee of $399 includes your custom podcast theme and microsite configuration plus the first month’s service.
• There is a $199/month recurring fee starting with month 2.
• There is a 6 month minimum commitment.

How To Sign Up:

1. You will first be asked to acknowledge this Terms of Service; see below to start the sign up process.
2. Then you will be taken to PayPal to create your PodSuite™ subscription: the one-time set up fee of $399, which includes your first month of service and subsequent monthly payments .
3. You will then gain access to our training materials.
4. After training, orientation and consultation, we will create your custom podcast music and microsite.
5. All payments are due in advance.

Cancellation Policy:

• PodSuite™ Packages are sold with a minimum 6 month commitment. Hosts must notify Smallbiz America via fax letter to 505.332.2314 (30) days in advance of any cancellation.
• One-time set up fees plus the first month [$399 total] are not refundable; no exceptions.

Intellectual Property:

• All PodSuite™ hosts retain the full copyright ownership of their recorded podcasts and blog posts.
• SmallbizAmerica warrants that all music used on Host episodes is cleared and royalty-free.
• SmallbizAmerica reserves the non-exclusive right to use PodSuite Host content for marketing and promotion purposes.

Commissions for Referrals:

• Smallbiz America will pay a 15% commission for any new PodSuite™ Hosts who join our network as a direct result of your referral. The new Host must register a referring party identification when they register for PodSuite™.

Podcast Sponsorships:

• In the future Smallbiz America may negotiate sponsorship deals on podcasts produced for the network. Each host who is offered the opportunity to participate will earn 40% of revenues for these sponsorships, after production costs.
• In the event that a PodSuite™ host refers a sponsor for their podcast, the host will earn 50% of revenues after production costs.
